Standard Terms and Conditions
These Terms and Conditions ("Agreement") govern the professional relationship between the Client ("Client") and Porthos Media ("Service Provider"), and apply to all services provided, including but not limited to: web design, SEO, digital marketing, copywriting, social media management, audio production, video production, and related consulting or creative services.

Scope of Services
The Service Provider agrees to provide services as outlined in the agreed-upon service package or proposal. Services may include project-based work or ongoing monthly support, depending on the selected package.

Retainer Fees & Monthly Services
For monthly or ongoing service packages, the Client agrees to pay a monthly retainer fee. This fee reserves a portion of the Service Provider’s availability for the Client each month. The retainer is payable in advance, at the beginning of each month, and is non-refundable.

Retainer fees are due regardless of the Client’s usage of the allotted time or services during that month. Unused hours or support do not roll over unless otherwise specified in writing.

Setup Fees and Asset Delivery
A one-time setup fee may apply depending on the scope of the project. All required assets (including, but not limited to, logos, images, videos, content, login credentials, and relevant documents) must be provided by the Client within 90 days of contract signing.

Failure to provide these materials within the specified timeframe will result in the contract becoming null and void. In such cases, the Client will be required to sign a new contract, pay a new setup fee, and acknowledge that service pricing may be subject to change.

Intellectual Property
All work created by Porthos Media remains the intellectual property of Porthos Media until full payment is received. Upon final payment, ownership of deliverables will be transferred to the Client unless otherwise agreed in writing. Porthos Media retains the right to showcase completed work in portfolios or promotional materials.
Confidentiality
Both parties agree to maintain confidentiality of all proprietary or sensitive information shared during the course of the project. This includes but is not limited to login details, business strategies, and internal communications.​

Revisions & Approvals​
Reasonable revisions are included with most service packages unless stated otherwise. All approvals and requests for revisions must be recieved by the service provider no later than 30 days after the completion of the project. Additional revisions or change requests outside the original scope may incur extra fees.

Payment Terms​
Invoices are due upon receipt unless otherwise stated. Late payments may result in paused work or delayed delivery. For recurring services, a credit card or automatic payment method may be required.

Termination​
Either party may terminate this Agreement with 30 days' written notice. In the event of termination, the Client is responsible for all payments due for services rendered up to the termination date. Unused setup fees or monthly retainers are non-refundable.​
​
Liability​
The Service Provider is not liable for damages or losses resulting from the use or misuse of deliverables or from technical issues on third-party platforms (e.g., hosting, social media, email services, etc.).
​
Force Majeure
Neither party shall be held liable for any failure or delay in performance due to circumstances beyond their control, including but not limited to acts of nature, government actions, or failure of suppliers.​​
